    Terms of Service

    1. Acceptance of Terms

    These Terms of Service govern your access to and use of Fightbook's websites, mobile experiences, and related services (the "Services"). By accessing or using the Services, you agree to be bound by these Terms.

    2. Eligibility and Accounts

    You must be legally able to enter a binding agreement to use the Services. You are responsible for maintaining accurate account information, safeguarding your login credentials, and all activity occurring through your account.

    3. Use of the Services

    You agree to use the Services only for lawful purposes. You may not misuse the Services, attempt unauthorized access, interfere with platform operations, or use the Services in a way that violates rights of others or applicable law.

    4. Fighter Contact Sharing for Fight Opportunities

    If you are a fighter and use Fightbook, you acknowledge and agree that we may share your contact information, including your email address and phone number, with managers, representatives, promoters, or other authorized participants on the platform when reasonably necessary to contact you about fight opportunities, scheduling, related event logistics, or representation discussions.

    By creating an account, submitting profile information, or using features related to matchmaking, roster management, or fight booking, you direct and authorize Fightbook to facilitate these communications.

    We require recipients to use fighter contact information only for legitimate professional purposes connected to fight opportunities and related services on the platform.

    5. Communications and Consent

    You agree that Fightbook may send transactional and service-related communications. Where required by law, additional consent may be requested for specific communication channels, including certain marketing messages.

    6. User Content and License

    You retain ownership of content you submit, but you grant Fightbook a non-exclusive, worldwide license to host, store, reproduce, and display that content as needed to operate and improve the Services.

    7. Ticket Purchases

    This section applies when you buy tickets to an event through the Services, with or without an account.

    Who runs the event. Events are run by independent organizers, not by Fightbook. Fightbook collects payment for the organizer through our payment processor, Stripe, and the organizer receives the proceeds. You are charged the total of the ticket prices shown at checkout.

    All sales are final. There are no refunds, except where the law requires one, and Fightbook does not issue refunds on the organizer's behalf.

    Cancellations and changes. The organizer is responsible for the event, including its date, venue, and card, and for any cancellation, postponement, or change. The fighters and bouts listed for an event can change. If an event is cancelled, postponed, or changed, any refund the law requires, or any other remedy, is the organizer's responsibility, not Fightbook's.

    Admission. A ticket admits one person to the event it was sold for and is for admission only. Each ticket code can be scanned in once, so keep your codes private. The organizer and venue may set their own entry conditions and may refuse entry under them, including to anyone holding a ticket that was resold or transferred against the organizer's policy.

    Payment problems and chargebacks. If you think a charge is wrong, contact us at the address in Section 16. Disputes and chargebacks are handled through Stripe's standard process.

    8. Event Organizers and Ticket Sales

    This section applies to you if you create an event on the Services, and in particular if you sell tickets to it or collect registration fees for it through the Services (an "organizer"). "Sales" means both. It adds to the rest of these Terms.

    Authority and certification. You may sell tickets to an event through the Services only if you are its promoter of record or the promoter of record has authorized you to sell them on its behalf. Where the Services ask you to certify this and related statements before ticket sales go live, your certification is a representation to Fightbook that we rely on, and we keep a record of it, including the promoter of record you name and when you certified.

    Accurate listings. You are responsible for the accuracy of everything you publish about your event, including its name, date, venue, card, ticket types, prices, and flyer, and for keeping it up to date. If the event changes, update it, and pause ticket sales while its details are uncertain.

    Licenses, permits, and sanctioning. You are responsible for obtaining, and complying with, every license, permit, sanction, and approval your event legally requires, including those of any athletic commission or sanctioning body and of the venue. Listing an event, or approving its ticket sales, does not mean Fightbook has confirmed that it has them.

    Flyers and promotion. You must own, or have permission to use, your flyer and every name, image, likeness, logo, and trademark on it or in your event details. You grant Fightbook a non-exclusive, worldwide, royalty-free license to use, reproduce, display, and distribute your event's details and flyer, including those names and likenesses, to operate the Services and to promote the event and the Services, on and off the Services, including in advertising.

    Review, approval, and suspension. Fightbook may review any event and its ticket sales, and may approve, decline, or suspend ticket sales at its discretion, including where a certification appears inaccurate, an event lacks a required approval, or we receive complaints. Ticket sales for professional events go live only after Fightbook approves them. Approval is not an endorsement of the event or a finding that it is lawful. Suspending sales stops new sales; tickets already sold remain valid and remain your responsibility.

    Payouts. To make sales you must connect a Stripe account through the Services and keep it in good standing. Payment processing services for organizers on Fightbook are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (collectively, the "Stripe Services Agreement"). By making sales through the Services, you agree to be bound by the Stripe Services Agreement, as Stripe may modify it from time to time. As a condition of Fightbook enabling payment processing services through Stripe, you agree to provide Fightbook accurate and complete information about you and your business, and you authorize Fightbook to share it, and transaction information related to your use of the payment processing services provided by Stripe, with Stripe. When a buyer pays, the proceeds, less Fightbook's platform fee, are transferred to your Stripe account, and Stripe pays them out to you on your account's payout schedule.

    Platform fee. Fightbook charges a platform fee on each order, which is deducted from the order's proceeds before they are transferred to you. Buyers pay the prices you set. The fee is currently a flat $5.00 per order, unless Fightbook sets a different fee for your event.

    Taxes. You are responsible for determining, collecting, reporting, and paying all taxes on your sales, including sales, admissions, and amusement taxes, and any fees owed on them to an athletic commission or sanctioning body. Fightbook does not calculate, collect, or remit taxes on your sales.

    Honoring tickets and cancellations. You must admit every holder of a valid ticket to the event it was sold for, subject to the entry conditions described in Section 7. If you cancel, postpone, or materially change the event, you must tell ticket holders promptly, and you are responsible for any refund or other remedy you owe them or that the law requires. Fightbook does not refund buyers on your behalf.

    Disputes and chargebacks. Payments are processed on Fightbook's Stripe account, so disputes and chargebacks on your sales are raised against Fightbook. You are responsible for them, including any amounts reversed and any dispute fees Stripe charges, and you agree to respond promptly when Fightbook asks for information about a disputed sale. Fightbook may recover these amounts from you, including by reversing the related transfer to your Stripe account where Stripe allows it.

    Buyer information. Fightbook shares buyers' names, email addresses, and ticket details with you so that you can admit them and communicate with them about the event. You may use buyer information only for admission and for communications about that event, must keep it secure, and must not sell it, disclose it except to people helping you run the event, or use it for marketing unless the buyer has separately agreed to that. You must comply with applicable privacy and anti-spam laws when you use it.

    Indemnity. In addition to Section 12, you will defend, indemnify, and hold harmless Fightbook and its affiliates from any claims, losses, liabilities, damages, fines, and expenses, including reasonable attorneys' fees, arising out of your event, your sales, your certification, your flyer and event content, taxes on your sales, or your breach of this section, including claims by buyers, fighters, venues, athletic commissions, sanctioning bodies, and rights holders.

    9. Intellectual Property

    Fightbook and its licensors own all rights in the Services, including software, branding, and design, except for user-provided content. You may not copy, reverse engineer, or create derivative works from the Services except as allowed by law.

    10. Disclaimers

    The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Fightbook disclaims warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

    11. Limitation of Liability

    To the fullest extent permitted by law, Fightbook will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, goodwill, or business opportunities arising from or related to your use of the Services.

    12. Indemnification

    You agree to defend, indemnify, and hold harmless Fightbook and its affiliates from claims, liabilities, damages, and expenses arising out of your use of the Services, your content, or your violation of these Terms or applicable law.

    13. Suspension and Termination

    We may suspend or terminate access to the Services if we believe you have violated these Terms, created legal risk, or harmed users or the platform.

    14. Changes to These Terms

    We may update these Terms from time to time. Updated Terms become effective when posted, and your continued use of the Services after the effective date constitutes acceptance of the revised Terms.

    15. Governing Law

    These Terms are governed by applicable laws in the jurisdiction designated by Fightbook, without regard to conflict-of-law principles.
